This Refund and Cancellation Policy applies to all coaching, consulting, advisory sessions, programs, mentoring interactions, and digital materials offered under the brand ZALAXMI – Wisdom. Coaching. Wealth., operated by Ciobanu Mirela Valentina PFA, established in Romania and operating within the legal framework of the European Union.
ZALAXMI provides exclusively non-physical, time-based, intellectual, and/or digitally delivered services. By purchasing any service, the client expressly understands that the value of the service consists of professional time allocation, intellectual contribution, strategic guidance, live or recorded session delivery, and/or access to protected digital content. For this reason, refunds are governed by the legal provisions applicable to digital services and services whose performance begins immediately after purchase.
EU right of withdrawal and immediate performance
Where European Union consumer withdrawal rights apply, the client expressly requests the immediate commencement of service performance prior to the expiry of the statutory withdrawal period. The client acknowledges that once performance has begun, or once digital content has been delivered, accessed, downloaded, streamed, or otherwise made available, the statutory right of withdrawal may be lost in accordance with applicable EU consumer protection legislation. By completing a purchase, the client provides explicit consent to this immediate performance and acknowledges the potential loss of the withdrawal right to the fullest extent permitted by law.
Coaching sessions, programs, and packages
Coaching sessions constitute scheduled professional services reserved in advance. Once a session has taken place, it is considered fully delivered and becomes non-refundable. For multi-session packages or programs, any portion already delivered remains non-refundable. Remaining unused sessions may be used within the validity period communicated at the time of purchase or stated on the relevant product page. Expired sessions are not refundable unless mandatory law requires otherwise.
Rescheduling, lateness, and absence
If the client is unable to attend a scheduled session, a rescheduling request must be submitted at least twenty-four (24) hours before the agreed session time. Requests made within less than twenty-four hours may be treated as late cancellations. Missed sessions, no-shows, or last-minute cancellations may be considered delivered and therefore non-refundable, as the reserved professional time cannot reasonably be reassigned.
Digital materials and downloadable content
Where a purchase includes digital files, documents, recordings, templates, written frameworks, or any other downloadable or accessible materials, no refund is provided once access has been granted or delivery has occurred, except where mandatory legal provisions explicitly require otherwise.
Chargebacks, disputes, and abusive conduct
If a client initiates a payment dispute or chargeback after receiving service delivery, session access, scheduling confirmation, or digital content, ZALAXMI reserves the right to suspend or permanently terminate access to all services and materials during the investigation and in cases of bad faith, abuse, threats, harassment, fraudulent conduct, or misuse of the coaching relationship. Such measures are exercised without prejudice to any legal rights, recovery actions, or claims for damages available under applicable law.
Exceptional delivery failure
If a verified circumstance attributable solely to ZALAXMI prevents the agreed delivery of a booked service, ZALAXMI may offer rescheduling, service credit, or a proportional refund where appropriate. Any such remedy is provided at ZALAXMI’s reasonable discretion unless mandatory legal provisions require a different solution.
Confidentiality, intellectual property, and protection of professional know-how
All coaching conversations, written guidance, strategic frameworks, exercises, methodologies, recordings, concepts, analyses, and intellectual structures provided within ZALAXMI services are confidential and constitute protected professional know-how and intellectual property belonging exclusively to ZALAXMI. The client agrees not to copy, reproduce, distribute, publish, disclose, license, teach, sell, transfer, or commercially or non-commercially exploit any part of the services or materials without prior written authorization. Unauthorized use may constitute a violation of intellectual property rights, confidentiality obligations, and applicable civil or commercial law within the European Union and may give rise to legal liability.
ZALAXMI likewise commits to treating all personal disclosures, business information, and sensitive data shared by the client as confidential in accordance with professional ethics and applicable European data protection legislation. Confidentiality may be limited only where disclosure is legally required, necessary to prevent serious harm, or expressly authorized in writing by the client.
Limitation of liability
To the fullest extent permitted by applicable law, ZALAXMI shall not be liable for indirect, consequential, psychological, relational, business, or financial outcomes arising from the client’s interpretation or application of coaching discussions, materials, or guidance. Coaching represents a professional support process, not a guarantee of specific results, and all decisions and actions remain the sole responsibility of the client.
Governing law
This policy forms an integral part of the contractual framework together with the Terms and Conditions, Privacy Policy, and Coaching Disclaimer and Client Responsibility Agreement governing all ZALAXMI services. Any interpretation or dispute shall be governed by Romanian law and applicable European Union legislation, with jurisdiction belonging to the competent courts of Romania, unless mandatory consumer protection law provides otherwise.
